# Attorney Cover Note

Date: 2026-03-30

## Asset

Muhammad Ali archival film and media-rights package centered on `The Baddest Daddy in the Whole World`, related 1971 Zurich-event material, additional footage, and associated photo-archive support.

## Current title posture

Current working legal grade:

`strong enough for preliminary diligence`

What is materially supported:

- signed operative transfer between `Bernd Grohe` and `Alexander Walter`
- bank evidence of the first `CHF 50,000` transfer-trigger payment on `2026-02-06`
- signed Swiss-law memo concluding the transfer took effect on that payment date
- chain-of-title summary asserting `Muhammad Ali -> Hans-Rudolf Jaggi -> Bernd Ralf Grohe -> Alexander Walter`
- internal `Alexander Walter -> Apollon Holding GmbH` assignment package now treated as `signed-but-needs-verification`

What improved materially:

- user confirmed that the supplied signature page belongs to the exact `Assignment of Film and Media Rights` package
- the signature page shows `Alexander Walter` signing on `13.03.2026` as:
  - assignor / contributor
  - for and on behalf of `Apollon Holding GmbH`
  - sole shareholder resolution signatory

## Main unresolved weaknesses

1. predecessor chain depth remains thin
   - underlying documents behind `Ali -> Jaggi -> Grohe` are still not in the room
2. the signed `Walter -> Apollon` packet is not yet assembled as one immutable, room-ready executed set
3. the later `90/10` cap table needs chronology support against the `sole shareholder` signing posture on `13.03.2026`
4. date inconsistencies in the broader file set still need one corrective note
5. later instalment / holdback / escrow status is still not fully documented

## Requested legal output

Please provide one of the following:

1. written title opinion
2. written list of instruments required to perfect title and transferability
3. recommendation for E&O backstop if perfection remains incomplete

## Included in this pack

- `control-memo-march-2026.md`
- `document-status-table.csv`
- `clause-register.csv`
- `missing-document-request-list.csv`
- `signed-assignment-evidence-appendix.md`

## Specific questions for counsel

1. Is the current rights stack sufficient for preliminary third-party diligence?
2. What exact documents are required to move the package toward insurer / distributor review?
3. Does the currently evidenced `Walter -> Apollon` assignment materially cure the buyer/SPV mismatch caused by Apollon funding the first payment?
4. What is the minimum acceptable proof set for the predecessor chain if the underlying original 1971 documents remain incomplete?
5. Should the package be backstopped primarily by perfection work, E&O, or both?
